General subscription rental terms - Welgo
These General Terms and Conditions (hereinafter referred to as “GTC” or “Terms and Conditions”) form a contract between:
WELGO, a simplified joint-stock company with capital of €1,000, registered in the Paris Trade and Companies Register under number RCS: 949 516 744, headquartered at 10 rue des Penthièvre, 75008 Paris, whose business is to provide a bike subscription service
AND
You, hereinafter referred to as the “Member”
1. Definitions
- In the general terms below, the terms set out shall have the following meaning:
Subscription: the contract concluded between Welgo and the member establishing the contractual conditions applicable to the rental (“Location”) of a Bike, and composed of the Particular Conditions, these General Terms as well as any other contract possibly concluded between Welgo and the member
Accessory: an accessory made available to the member by Welgo as part of an option of the Subscription for use by the member in accordance with these General Terms
Welgo Repair: the service provided by Welgo addressing a problem arising from normal and usual use of the Bike by the member, as defined in article 4 below, and the attempt to resolve it by repairing or replacing the said Bike, article 8
General Terms: these general terms, including Annexes I to II, as stated by Welgo, which apply to any Subscription or Accessory Subscription (where applicable)
End Date: the date on which the Subscription ends by termination of the member or of Welgo (i) under article 9 or 10.5, (ii) in case of termination under article 16.2, the date on which the modified General Terms enter into effect, or (iii) the date on which a notice of termination is received by Welgo
Member: any natural or legal person who subscribes to a Subscription with Welgo
Subscription Period: the duration of a Subscription as agreed in the Order Process, as set out in article 9
Order Process: the process by which a natural or legal person subscribes to a bike through Welgo. This process can be initiated via the Website or any other platform made available by Welgo
Website: the relevant Welgo Website (welgo-bike.com) as mentioned in the Subscription and these General Terms
Exchange: the exchange of the Bike by Welgo
Bike: the asset (longtail bike) made available to the member by Welgo under the concluded Subscription, in accordance with the General Terms and the Particular Conditions. The characteristics of the Bike are detailed on the Welgo Website at the time of subscribing to the Subscription
Service Area: an area or neighborhood that is selected by the member during the Order Process and specified in the Subscription, which is within reasonable distance from a Welgo workshop and within the limits of the city for which on‑site Exchange services (by bike or service vehicle) are provided by Welgo
2. Applicability
2.1. These General Conditions, as well as Annexes I to II attached hereto, apply to any Subscription between Welgo and the Member.
2.2. Agreements between Welgo and the Member that differ from or supplement these General Conditions shall only be valid if explicitly confirmed in writing by email by Welgo.
2.3 Where applicable, all amounts indicated by Welgo include any applicable taxes.
3. Subscription
3.1. The Member will receive an order confirmation once the Ordering Process is completed. The Subscription takes effect when the Member takes possession of the bike from Welgo, unless explicitly stated otherwise in the confirmation or the Subscription.
3.2. The bike Member must be at least 18 years old on the day of subscribing to the Subscription and be capable of entering into a legal contract. An adult may subscribe to a Subscription on behalf of their minor child: the parent Member will then be held responsible for any damage caused by their minor child.
3.3. Required documents and delivery procedure
The Member undertakes to provide all required documents for finalizing the rental contract before the delivery of their bike. After validation of the documents and signing of the contract, a number will be sent to the Member on their mobile phone. Upon delivery, the Member must present this number to the delivery person to confirm receipt of the bike.
3.4. Welgo invoices the Member with one-time fees as indicated for the relevant Subscription in the Ordering Process, unless otherwise stated in the Ordering Process.
3.5. After confirmation, the Member and Welgo will agree on the time and place of delivery or pick-up of the bike. At the time of delivery, the Member will confirm in writing to Welgo the receipt of the bike, the chosen payment method, and that the provided personal information is correct. During the Subscription Period, the Member will inform Welgo of any changes to Welgo’s known data (such as a new phone number, new address, or new bank account) in a timely manner and without undue delay.
3.6. The Member will have access to a bike and may use it during the Subscription Period, in accordance with the chosen Subscription and these General Conditions. In consideration of Welgo providing the bike to the Member, the Member owes Welgo the agreed monthly rental fees as set out in the Ordering Process during the Subscription Period. Unless otherwise agreed in the Subscription, the rental fees are due for prepayment at the beginning of each calendar month for the entire calendar month. If the Member’s Subscription Period begins or ends during a calendar month, the rental fees will be charged pro rata for that month.
3.7. If the Subscription is taken out via the registration form on Welgo’s website and the Member is a consumer, the Member has the right to withdraw from the Subscription with immediate effect without giving reasons within fourteen days of receiving the bike by sending written notice of withdrawal to Welgo. A withdrawal form is available on the Website. If the Member terminates the Subscription during the fourteen-day withdrawal period, Subscription fees will be charged to the Member on a pro rata basis for the number of days the bike was available to the Member.
3.8. The Member may only use the bike in the country where they have subscribed to a Subscription.
3.9. As part of the Subscription, the Member is entitled to one free exchange as stated in Article 8.
4. Purpose and scope of application
4.1. The Welgo Bike (including all other elements, batteries, and keys supplied with the Bike) shall remain at all times during the Subscription Period the property of Welgo, and legal title or ownership of the Bike shall not be transferred to the member.
4.2. Other than the specifications agreed in the relevant Subscription (e.g., specifications regarding the type and/or category of the Bike), the member has no entitlement to a particular design, color, assembly, or configuration of the Bike.
4.3. The member acknowledges and agrees that the Bike may be equipped with a GPS tracker that enables Welgo to monitor the location and mileage data of the Bike. Welgo may track such data, notably in cases of suspected loss, theft, or unauthorized use of the Bike.
4.4. Welgo reserves the right to display advertisements on the Bike at any time and at its sole discretion. If an advertisement fixed to or printed on the Bike is damaged, removed, illegible, or otherwise not visible, the member will inform Welgo without undue delay.
5. Locks and keys
5.1. The Bike is delivered with an external lock, a charger, and a battery key, subject to stock.
5.2. Welgo will provide the member with a key to use with the lock (as indicated in the Subscription). Welgo is entitled to retain a spare key for the Bike or lock.
5.3. The member shall not make, or cause to be made, a copy or duplicate of the keys, or possess more than one key. The member shall safeguard the key against loss, theft, and unauthorized use at all times and may not entrust the key to third parties. If the key is lost, stolen, or damaged, the member must request a new key from Welgo. Welgo may charge a fee for a new key, as indicated in Annex II. A key previously reported lost or stolen that is later found must be returned immediately to Welgo.
6. Conditions relating to the use of the Bicycle
6.1. For the purposes of these General Terms, “use” of the Bike shall be deemed to include, in all cases, riding, pushing, parking, and storing the Bike.
6.2. Subject to article 15, the member uses the Bike at their own risk and is responsible for such use. The member must perform reasonable checks to ensure the Bike remains in good condition during the Subscription Period. For example, the member must regularly check that bolts or other parts are tight, that the tires are properly inflated and in good condition, that lights (front and rear) function correctly, that rear and side reflectors are present and visible, and that the horn, computer, and braking system operate correctly.
6.3. The member shall not use the Bike if they have identified any defect and/or damage leading to safety issues or other concerns regarding the proper use of the Bike, unless use is limited to pushing, parking, and storing. The member will inform Welgo of such defects and damage in a timely manner (which may be done by requesting an Exchange). Use of the Bike for riding will be interpreted as proof that it is in proper condition and has no defects or damage.
6.4. The member must use the Bike normally and take care of it. The member must avoid any unusual stress on the Bike and use it only on paved roads and streets. Notwithstanding the foregoing, the member may push, park, or store the Bike on unpaved roads and streets provided that such use does not damage the Bike.
6.5. The Bike is intended solely for personal use by the member. The member shall not allow third parties to use the Bike. The member shall not sell, rent, sublet, create, or grant any security or other right over the Bike to any third party.
6.6. The member may use the Bike only if they comply at all times during the Subscription Period with all applicable laws and regulations, including but not limited to minimum age requirements, applicable use regulations (such as bans on increasing the maximum speed of e‑Bikes, speed limits, and parking rules), and possession of relevant permits and insurance.
6.7. If during the Subscription Period the member’s driving license is temporarily suspended or permanently revoked, or if the member is prohibited from driving following a judicial or administrative decision, or if the member’s authorization to drive and/or retain the Bike is otherwise restricted, the member must immediately inform Welgo.
6.8. The member must not use the Bike if suffering from a medical condition or taking medication that might affect their ability to use the Bike, or under the influence of drugs or alcohol.
6.9. The member may use the Bike only in compliance with its weight limit as specified in Annex II.
6.10. The member may use the luggage rack of the Bike only appropriately and within its intended use, and in particular must comply with the maximum allowable load. The member ensures that they and any other person comply with all applicable laws and regulations (such as wearing a helmet).
6.11. The member shall not destroy the Bike, make irreversible modifications that damage it, nor tamper in any way with the electronics, battery, computer, and/or software of the Bike.
6.12. With prior notice, Welgo is entitled to inspect the Bike at any time, partially or fully replace it, and perform maintenance, servicing, and repairs; the member shall cooperate with Welgo.
6.13. Notwithstanding article 6.6, Welgo recommends that the member wears an appropriate “CE” certified helmet in accordance with relevant EU guidelines and regulations when using an electric Bike. The helmet must be properly adjusted and fastened in accordance with the manufacturer’s instructions.
6.14. The member commits not to use the Bike as a tool for work, in particular for delivery activities, or exceed the maximum authorized kilometers, set at 1 000 km per month. In case of non‑compliance, the member will have to pay a penalty determined by Welgo, which shall not exceed the amount indicated in Annex II. Such contractual penalty is without prejudice to other rights held by Welgo, including the right to claim additional damages (including reimbursement of any collection costs) and to terminate the Subscription in accordance with article 5 of these General Terms.
6.15. Welgo reserves the right to verify the mileage and condition of the Bike during an Exchange or at any other time during the Subscription. During an inspection, Welgo may assess average usage over the prior 30 days, calculated from the first delivery or last scheduled Exchange up to date of inspection. If average usage during this period exceeds subscription usage rights, Welgo is entitled to charge, retroactively, the difference between normal and excessive usage, plus administrative fees (as defined in Annex II).
7. Welgo Repair service
7.1. During the Subscription Period, Welgo commits to use its best efforts to repair a damaged or malfunctioning Bike due to normal use by the member as quickly as possible after the member reports the issue to Welgo. Notification can be done by contacting Customer Service by phone or email.
7.2. An exchange will occur only in the event of defect, disappearance, or theft of the Bike, within the city where the Bike was delivered, subject to stock availability. Exchange cannot be carried out if it would compromise Welgo’s commercial operations.
7.3. Welgo will carry out Exchanges on site (at a location requested by the member) or at a Welgo workshop within the member’s Service Area. When the member uses the Bike outside the Service Area, Exchanges will only be conducted within the Service Area.
7.4. When Welgo exchanges a Bike, the member shall return the Bike, including all other elements such as batteries and keys that were provided with the Bike.
7.5. In case the member is absent for a scheduled appointment, Welgo reserves the right to charge the fee specified in Annex II.
8. Subscription duration
8.1. The duration of the Subscription (hereinafter the “Subscription Period”) is defined in the Particular Conditions at subscription.
8.2. For monthly Subscriptions, the Subscription Period is one month from the date indicated in the Order Process and automatically renews for one month unless terminated in accordance with these General Terms. Welgo and the member may terminate a monthly Subscription at any time with one month’s notice.
8.3. For Subscriptions with a minimum term, the Subscription Period begins on the date specified in the Order Process and remains in force for the agreed minimum duration. Subject to article 17, early termination is not possible, and the member is bound for the Subscription Period. Upon expiration of the minimum Subscription Period and so long as Subscription is not terminated by either party, it converts into a month‑to‑month Subscription without commitment.
8.4 These provisions are without prejudice to article 3.7.
9. End of subscription and return
9.1. When the member’s Subscription termination takes effect, the member must (at their own expense and risk) return the Bike (including all items, batteries, and keys supplied with the Bike) to a Welgo workshop in the member’s Service Area or as instructed by Welgo before or no later than the End Date. If the Bike is collected by Welgo at a location requested by the member, Welgo shall be entitled to charge Fees as specified in Annex II. All member rights under the Subscription cease once the Bike is returned or collected, without prejudice to the member’s obligation to pay rental Fees until the End Date.
9.2. Before returning the Bike as per article 9.1, the member may cancel their termination free of charge by emailing Welgo. Cancellation must be received by Welgo no later than the day before the End Date.
9.3. If the Subscription is (i) terminated by the member observing one month’s notice and the member does not return the Bike to Welgo by the End Date, or (ii) terminated immediately by the member and they fail to return the Bike within seven days of the End Date, the termination is void and the Subscription remains in effect until terminated per these General Terms.
9.4. If the Subscription is terminated by Welgo and the Bike is not returned within seven days of the End Date, Welgo shall deem it theft by the member. The member shall indemnify Welgo pro rata for rental Fees for the Subscription concerned. These Fees are without prejudice to Welgo’s right to claim full damages for any loss beyond the Fees, and to terminate the Subscription.
9.5. Welgo may, at any time during the Subscription Period, terminate the Subscription with one month’s notice if (i) Welgo ceases to provide services in the Service Area, (ii) modifies its product offering in the Service Area, or (iii) changes the member’s Service Area. In such case the member will return the Bike as per article 9.1.
9.6. By accepting these General Terms, the member acknowledges the Bike may belong to a leasing company. The member is required, at the leasing company’s request, either to return the Bike to the leasing company or be released from their obligations by paying the lease to the leasing company.
10. Loss or theft
10.1. To prevent incidents such as loss, theft, and damage, the Bike must always be properly locked with the lock(s) provided by Welgo and secured to a fixed object using a chain lock. Additionally, if the Bike has a battery, it must be removed and stored securely when parked, and must always be locked using the locking system provided when the Bike is in use. If the Bike and/or battery were not locked or secured in accordance with article 11.1 and an incident occurs (including vandalism, loss, or theft), the member shall owe Welgo negligence Fees for the Subscription concerned as specified in Annex II.
10.2. In case of loss or theft of the Bike and/or battery, the member must:
Report the loss or theft to Welgo within 24 hours of becoming aware of it; and
Return the bike key to Welgo without undue delay (at the latest during the Exchange appointment, if applicable, scheduled to replace the stolen or lost Bike); and
In case of using a Bike, assist Welgo in reporting the loss or theft to the police with a Welgo employee; and
Provide any relevant information concerning the loss or theft without undue delay upon Welgo’s request.
Only if all the above requirements are fulfilled will the member receive a replacement Bike from Welgo.
10.3. In the event of loss or theft of the Bike and/or battery, the member shall owe Welgo the Fees specified in Annex II for the Subscription concerned:
For such loss or theft (or, if certain parts of the Bike are lost or stolen, Welgo is entitled to charge the member up to the amount of the corresponding Fees);
If the member fails to report, or fails to report in time, such loss or theft; and
If the member cannot return the key of the lost or stolen Bike to Welgo.
10.4. If it appears that the member provided incorrect information or made false statements, the member is fully liable. Welgo is entitled to claim compensation and charge misuse Fees as indicated in Annex II. Such misuse Fees are in addition to negligence Fees and any other Fees.
10.5. Notwithstanding additional Fees and compensation, Welgo reserves the right to claim from the member compensation equal to actual damage suffered due to theft or loss of a Bike (or parts thereof) and/or battery.
10.6. If the Bike and/or battery reported lost or stolen is recovered, Welgo may refund the member all Fees paid, subject to technical and aesthetic condition.
10.7. If the Bike has been seized by the municipality or other public authorities, Welgo will contact the member regarding the recovery process. All costs to recover the Bike or other associated fees will be borne by the member. Welgo is entitled to charge the member for these costs.
10.8. The lessee commits to remove removable accessories from the bike if it must be left on the street for an extended period, to reduce theft or damage risk.
11. Damage and accidents
11.1. The member must report any damage to the Bike (or parts thereof) and/or battery to Welgo within 24 hours after the incident or after becoming aware of the damage, unless the member is unable to comply due to exceptional circumstances that reasonably prevented reporting, e.g., hospitalization following an accident. This applies regardless of the extent of the damage or whether the member caused it.
11.2. In case of damage to the Bike and/or battery, the member will pay Welgo Fees for such damage as specified for the relevant Subscription in Annex II or, if certain parts are damaged, Welgo may charge up to the corresponding Fees.
11.3. Welgo reserves the right to claim compensation for any loss arising from the member’s failure to inform Welgo of damage or accident in time, including additional expenses incurred by Welgo to repair it and any third‑party claims that could have been avoided with timely notice.
11.4. In case of damage or wear beyond normal use (at Welgo’s discretion), or if caused by the member’s accident, Welgo reserves the right to claim actual damages from the member.
11.5. If damage caused by the fault of the victim or a third party occurs, the member is required to submit to Welgo within 24 hours from becoming aware of the damage or the accident the third party’s contact details and a sketch of the incident scene agreed by both parties. A report form is available on the Website. Welgo reserves the right to charge the member for all costs and damages resulting from failure to provide third‑party details or submit a report.
11.6. In the event of an accident with the Bike, the member must not accept any liability toward a third party (e.g., by acknowledging responsibility or similar statement) without prior consent of Welgo. Otherwise, the member assumes all consequences of such acceptance of liability and indemnifies Welgo against third‑party claims. The member is not authorised to accept liability on behalf of Welgo or its insurer.
11.7. The lessee commits to minimize the time the bike is left outside at night, between 22:00 and 7:00.
12. Payments
12.1. The member commits to being up to date with their financial obligations to Welgo, notably paying the Price monthly throughout the Subscription duration.
12.2. Upon subscription, the member undertakes to provide the following documents: for individuals, front and back ID, proof of address (recent), latest pay slip or tax notice, and bank details (RIB). For companies, a Kbis extract less than three months old, latest balance or tax bundle, manager’s ID, and company bank details. These are essential to confirm the subscription; they are treated confidentially under applicable rules by our financial partner M2M Financement (SAS, capital €1 200 000), registered under SIREN 537 376 808, headquartered at 1 allée de l’Électronique, 42000 Saint‑Étienne.
12.3. By entering card details when subscribing, the member authorises Welgo to debit any amounts due (subscription price, extraordinary fees, accessory fees, etc.) directly from the card. Additionally, Welgo may charge registration fees specified in the Particular Conditions.
12.4. By subscribing and accepting these General Terms, the member authorises Welgo to debit extraordinary fees and additional charges from the provided bank details before delivering a new Bike.
12.5. In case of failed debit and after a 14‑day formal notice, Welgo reserves the right to suspend the Subscription and entrust the matter to a collection agency. Administrative and recovery costs will be charged to the member.
12.6. The member commits to updating their banking details promptly to ensure information remains current during the Subscription.
12.7. If this obligation is not met or the card is invalid, Welgo may suspend the subscription until resolved.
12.8. Payment delays
In case of payment issues (failed debit or other incident):
first incident is tolerated without fee;
from the second incident onwards, €30 TTC per payment problem plus any bank charges will be charged. These cover administrative follow‑up and will be debited automatically as per article 12.3.
13. Liability
13.1. Welgo is not liable for damages or losses (including fines or monetary penalties) suffered by the member from using the Bike, except in cases of intentional fault, gross negligence, or non‑excludable legal liability.
13.2. The member is personally responsible for compliance with these General Terms.
13.3. The member indemnifies Welgo on first written demand for any fine or monetary sanction imposed on Welgo resulting from the member’s use of the Bike.
13.4. The member indemnifies and holds Welgo harmless from any costs, fines, penalties, or monetary sanctions imposed by third parties or public authorities due to the member’s breach of Subscription or General Terms. Welgo may cooperate with authorities or third parties in accordance with the law and may pay fines on behalf of the member, to be reimbursed with administrative fees. The member agrees to Welgo debiting these amounts from their payment method as per article 14.1 and to be contacted for additional information if needed.
14. Modifications
14.1. Welgo reserves the right to make reasonable changes to rental Fees if its costs change due to regulations or to apply annual inflation indexing (CPI base 2015). Changes will be communicated by email at least one month before they take effect. The member may terminate the Subscription in writing from the effective date of the change.
14.2. After the first automatic renewal, Welgo may unilaterally modify the Subscription (including General Terms, rental Fees, and Website information) due to product, technical, business, legal changes, or market conditions. Changes will be communicated via website and email at least one month before effect, and the member may terminate once the modified terms take effect. This clause does not affect member rights or obligations under the Subscription.
14.3. The member may upgrade the Subscription at no cost, and Welgo will arrange an appointment and bike exchange according to the new Subscription.
14.4. The member may add or remove accessories at no cost, and Welgo will organize an appointment and bike exchange accordingly.
15. Termination
15.1. Welgo may terminate the Subscription partially or fully with immediate effect via written notice if the member:
fails to fulfil obligations under the Subscription or General Terms (including non‑payment);
misuses the Bike contrary to the General Terms;
seeks provisional or definitive payment suspension or receives debt restructuring;
is declared bankrupt or liquidation proceedings are filed;
is under guardianship or in debt restructuring;
is negatively impacted in performance due to seizure of Bike or accessories;
in Welgo’s opinion, abuses the service; or
deliberately provides incorrect information to Welgo.
15.2. Upon termination under article 4.3, Welgo may locate and immediately repossess the Bike (including via GPS).
15.3. The member may terminate immediately if Welgo repeatedly or seriously fails in its obligations. Consumer rights to withdraw remain unaffected.
16. Miscellaneous provisions
16.1. The member is deemed to have accepted all provisions of these General Terms without reservation.
16.2. Welgo may provide the member’s contact details to any public authority upon request and as required by law.
16.3. Welgo is entitled to assign its claims against the member to third parties at any time.
16.4. All termination notices must be in writing. Email is sufficient when written notice is required under these General Terms.
16.5. In case of conflict, the Particular Conditions prevail over General Terms.
16.6. If any provision is wholly or partially void, invalid, unenforceable, or inapplicable, the validity and enforceability of remaining provisions are unaffected. Welgo and the member shall agree on a substitute provision closest to the intended one, considering the spirit, purpose of these General Terms, and applicable laws. This applies equally to omissions or gaps.
17. Option to buy back the bike at the end of the rental period
17.1. If the member wishes to purchase the bike at the end of the rental, they have the option under the following terms:
Flexible plan: discount equivalent to one month’s rent on the recommended sale price.
12‑month plan: 15 to 25% discount on the recommended sale price.
24‑month plan: 30 to 40% discount on the recommended sale price.
36‑month plan: 50 to 60% discount on the recommended sale price.
17.2. The bike’s retail price with accessories is indicated on Welgo’s website. Accessories included are those listed in the “rental pack” on the Website.
17.3. The member must inform Welgo of their intent to purchase at least two weeks before the end of the rental period. Payment of the purchase price is due upon return of the Bike.
17.4. Welgo reserves the right to refuse sale if the bike is significantly damaged or requires expensive part replacement.
17.5. Bike purchase is optional and not mandatory.
18. Applicable law and disputes
18.1. French law applies exclusively to the Subscription and these General Terms.
18.2. All disputes related to the Subscription or Terms shall be subject to the competent court of Paris, unless another court has jurisdiction by mandatory law.
18.3. The member may resort free of charge to conventional mediation before a consumer mediator under Article L. 111‑1, point 6 of the Consumer Code.
18.4. Disputes, controversies, or claims will primarily be resolved by voluntary agreement between the member and Welgo. The member may submit a written complaint to Welgo’s customer service by email at: info@welgo-bike.com
Appendix I - Accessories overview
Welgo offers several optional accessories with the Subscription. This Annex I provides information on the costs and limitations for the respective accessory, as stated in Welgo’s General Terms and Conditions.
In case of loss or damage to the accessories, Welgo reserves the right to charge Fees to the Member up to the maximum amount indicated in the table below:
- Child seat: 90€ TTC (Urban Iki) – 149€ TTC (Thule Yeep)
- Mirror: €30 including VAT
- Panniers: €97 including VAT
- Locks: €120 including VAT
- Battery Charger: €120 including VAT
- Other accessories specific to the brand of the model : Supplier recommanded price
The Child seat can only be used by children aged nine (9) months to three (3) years and/or weighing less than fifteen kilograms (22 kg) and in accordance with the supplier’s manual for the child seat.
All amounts indicated in this Annex I include all applicable taxes.
Annex II – Overview of Fees
Annex II provides an overview of the Fees mentioned in Welgo’s General Terms and Conditions.
– Fee for loss of a lost, stolen, or damaged key: €50.00
– Fee for violation of standard usage conditions: €200.00
– Administrative fee for processing fees, fines, or other sanctions: €40.00
– Fee for unjustified exchanges: €24.00
– Fees for the loss of a Bike (different scenarios):
– Loss of a bike secured with the provided lock to a fixed point (without the battery) – €300
